SaaS Hive — Terms of Service

    The short version
    SaaS Hive is a platform where founders list their apps and users discover, compare, and review them. These Terms explain the rules for using it. The key points: don't fake reviews, don't misrepresent your product, don't abuse the platform, and we'll keep things fair and transparent on our end. If money changes hands for visibility, you'll always know. We don't sell rankings and we don't delete honest reviews. Read the full version below for the details.

    1. Who We Are and What This Covers

    1.1. SaaS Hive (saashive.com) is operated by 1048035 B.C. LTD., a corporation incorporated under the laws of Ontario, Canada, with its registered office at Office #645 145 ½ Church Street, Unit 5, Toronto, Ontario, M5B 1Y4, Canada ("SaaS Hive," "we," "us," or "our").

    1.2. These Terms of Service ("Terms") govern your access to and use of the SaaS Hive platform, including the website, all associated services, newsletters, and any related applications.

    1.3. By creating an account, submitting a product listing, posting a review, or otherwise using SaaS Hive, you agree to these Terms. If you do not agree, do not use the platform.

    1.4. We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of SaaS Hive after the effective date constitutes acceptance of the updated Terms. Previous versions will be archived and accessible on our website.

    2. Accounts and Roles

    2.1. To use most features of SaaS Hive, you must create an account. You must provide accurate, current, and complete information during registration.

    2.2. SaaS Hive uses a single-account system with two roles:

    (a) User role. This is the default for all accounts. Users can browse product listings, save products, leave reviews, participate in comparisons, and subscribe to newsletters.

    (b) Founder role. Any user can activate the Founder role to submit and manage product listings, access analytics, schedule launches, and use founder-specific tools. Activating the Founder role means you accept the additional obligations described in Sections 4, 5, and 6 of these Terms.

    2.3. You may operate in both roles simultaneously. Obligations specific to each role apply when you are acting in that capacity.

    2.4. You are responsible for maintaining the security of your account credentials. You must notify us immediately via our contact page if you believe your account has been compromised.

    2.5. One Account Per Person or Entity. Each person or legal entity may hold one account, unless SaaS Hive has expressly authorized additional accounts in writing (for example, for agency accounts, team access, or multi-brand management). You may not create or maintain multiple accounts for deceptive, manipulative, or policy-evasion purposes, including but not limited to manipulating reviews, rankings, votes, or any other platform feature. Unauthorized duplicate accounts may be suspended or terminated without notice.

    2.6. Eligibility. By creating an account, you represent and warrant that: (a) you are at least 16 years of age; and (b) your use of the platform does not violate any law applicable to you. SaaS Hive reserves the right to restrict or terminate access to accounts where continued service would cause SaaS Hive to violate applicable Canadian or international law, including trade sanctions or export control regulations.


    3. User Conduct — All Roles

    3.1. You agree not to:

    (a) Use the platform for any unlawful purpose or in violation of any applicable law.

    (b) Post content that is defamatory, threatening, harassing, obscene, or that infringes on the intellectual property rights of others.

    (c) Attempt to manipulate rankings, reviews, or any algorithmic feature of the platform through fake accounts, coordinated activity, purchased engagement, or any other deceptive means.

    (d) Interfere with or disrupt the platform's infrastructure, security features, or fraud detection systems.

    (e) Scrape, crawl, or use automated tools to extract data from the platform without our written permission.

    (f) Impersonate another person, company, or entity.

    (g) Use the platform to distribute spam, unsolicited messages, or promotional material outside of designated features.

    3.2. We reserve the right to investigate potential violations and take appropriate action, including warning, suspension, or permanent termination of your account, at our sole discretion.

    4. Product Listings (Founder Role)

    4.1. By submitting a product listing, you represent and warrant that:

    (a) You have the legal authority to list the product on behalf of the company or individual that owns it.

    (b) The product is real, functional, and accurately described. We do not list products that are conceptual, pre-development, or that misrepresent their capabilities.

    (c) All information provided in the listing, including pricing, features, integrations, screenshots, and target audience, is accurate and current.

    (d) Any logos, images, screenshots, or other media you upload are owned by you or you have the necessary rights and permissions to use them on SaaS Hive.

    (e) We strongly encourage, and for certain programs require, that product listings include at least one named founder or team member. Listings that identify a real person behind the product receive higher trust signals from both users and AI discovery systems.

    4.2. Every product submission is reviewed by our team before publication. We may reject a listing if it does not meet our quality standards, appears misleading, or violates these Terms. Rejection does not necessarily reflect on the product's quality. We may suggest revisions.

    4.3. Each product receives one permanent Product Page with a single URL. A "launch" is a visibility event that happens to that page, not a separate destination. Your listing remains live and discoverable on the platform indefinitely after publication, unless removed by you or by us for policy violations.

    4.4. You are responsible for keeping your listing information up to date. Outdated or inaccurate listings may be flagged, deprioritized, or removed.

    4.5. We reserve the right to edit listings for formatting consistency, policy compliance, or clarity, without prior notice. We will not alter the substantive meaning of your listing content without contacting you first.

    4.6. You may archive your listing at any time through your Founder dashboard. Archived listings are removed from public discovery but the Product Page URL may remain accessible.

    4.7. Founder Legal Compliance. By listing a product on SaaS Hive, you represent and warrant that: (a) your product complies with all laws, regulations, and licensing requirements applicable in the jurisdictions where you offer it, including but not limited to consumer protection, data privacy, accessibility, and advertising standards laws; (b) you are solely responsible for ensuring ongoing compliance, and SaaS Hive does not verify or endorse the legal status of any listed product; and (c) you will promptly update or remove your listing if your product's legal status changes in any jurisdiction.

    4.8. Prohibited Products and Content. The following may not be listed on SaaS Hive:

    (a) Products that contain malware, spyware, ransomware, or any code designed to damage, disable, or gain unauthorized access to systems, networks, or data.

    (b) Products designed primarily to facilitate illegal activity, including but not limited to fraud, identity theft, unauthorized surveillance, or unauthorized data collection.

    (c) Products subject to export controls, trade sanctions, or embargoes under Canadian, United States, or applicable international law. You are solely responsible for ensuring your product is not offered to users in sanctioned jurisdictions through your SaaS Hive listing.

    (d) Products that make false or unsubstantiated health, financial, or legal claims.

    (e) Products whose primary purpose is to generate deceptive content, impersonate individuals without consent, or bypass security or authentication systems.

    4.9. AI-Generated Claims. If your product uses artificial intelligence or machine learning, your listing must accurately represent the role of AI in your product's functionality. Claims about AI capabilities must be truthful and substantiated. Descriptions such as "AI-powered" or "uses machine learning" must reflect actual functionality, not aspirational features or marketing language for rule-based systems.

    4.10. Affiliate Links and Commercial Relationships. If your product listing, founder updates, or review responses contain affiliate links or reference commercial relationships with other products or services, these must be clearly disclosed. Undisclosed affiliate relationships are a violation of these Terms and may result in listing removal.

    4.11. Platform Right to Remove, Relabel, or Restrict. We reserve the right, at our sole discretion and without prior notice, to: (a) remove or suspend any listing or review that we reasonably believe poses a legal, regulatory, compliance, or reputational risk to the platform or its users; (b) relabel any content, including adding context labels such as "unverified," "under review," or "disputed," when circumstances warrant; (c) restrict listing visibility pending investigation; and (d) cooperate with law enforcement or regulatory authorities when required by law or when we believe in good faith that disclosure is necessary to protect the safety of platform users or the public.

    4.12. Founder Responsibility for End Users. SaaS Hive is a discovery and listing platform. We are not a party to any relationship between a founder and the end users of their product. You are solely responsible for providing customer support, handling refunds, honoring service commitments, and maintaining compliance with all applicable laws in your dealings with your own customers. SaaS Hive has no obligation to mediate, resolve, or assume liability for any dispute between a founder and their end users.

    4.13. Public Content, Indexing, and AI Discoverability.

    (a) Product listings, reviews, founder responses, and other public content on SaaS Hive are intended to be publicly accessible and may be crawled, indexed, cached, excerpted, summarized, or surfaced by search engines (such as Google) and third-party AI systems (such as ChatGPT, Perplexity, Claude, and Google AI Overviews).

    (b) By submitting a product listing or posting public content on SaaS Hive, you acknowledge and agree that your content may appear in search engine results, AI-generated responses, cached pages, web archives, and other third-party surfaces beyond SaaS Hive's direct control.

    (c) SaaS Hive designs product pages with structured data markup to improve the likelihood that listed products are discoverable by AI systems and search engines. This is a core feature of the platform. However, as stated in Sections 6A.6(b) and 6.7(a), we do not and cannot guarantee that any third-party system will index, display, or recommend your content.

    (d) If you wish to prevent your content from being indexed by specific third-party systems, you must manage that directly with the relevant third party. SaaS Hive does not offer per-listing opt-outs from public indexing, as public discoverability is a fundamental feature of the platform.

    5. Launch Lifecycle (Founder Role)

    5.1. SaaS Hive offers a structured launch process with the following phases: Build, Buzz, Launch, and Grow. Each phase provides different tools and visibility features.

    5.2. Scheduling a launch date will feature your product in "New This Week" and related discovery surfaces during the launch window. This does not guarantee any specific amount of traffic, clicks, reviews, or conversions.

    5.3. Launch dates, once confirmed, may be rescheduled subject to availability and any applicable terms of your service plan. The specific policies for rescheduling are detailed in the relevant service plan documentation.

    5.4. Relaunch packages, if purchased, are subject to their own terms regarding eligibility, timing, and scope.

    5.5. Beta, Pilot, and Early Access Features. From time to time, we may offer features, tools, or services that are designated as beta, pilot, early access, or experimental. These features are provided "as is" and "as available" without any warranty. We may modify, suspend, or discontinue beta features at any time without notice or liability. Beta features may contain bugs, errors, or incomplete functionality. Your use of beta features is voluntary and at your own risk. Feedback you provide about beta features may be used by us without restriction to improve the platform.

    6. Paid Services (Founder Role)

    6.1. SaaS Hive offers free and paid tiers for founders. Free listings include basic product page features and category placement. Paid services may include, but are not limited to: Growth Plan subscriptions, Founder Spotlight editorial services, Sponsored Placement, analytics dashboards, and other services as described in the service plan documentation.

    6.2. Paid services are billed as described at the time of purchase. Subscription services renew automatically unless cancelled before the renewal date. One-time services (such as Founder Spotlight) are non-recurring.

    6.3. Cancellation and Refunds.

    (a) Subscription cancellations. You may cancel a subscription at any time through your Founder dashboard or by contacting us via our contact page. For monthly subscriptions, cancellation takes effect at the end of the current monthly billing period. For annual subscriptions, cancellation takes effect at the end of the current annual billing period. You will retain access to paid features until the end of your current billing period. No partial-period refunds are issued for monthly or annual subscriptions unless required by applicable law. Annual subscriptions represent a commitment for the full annual term at a discounted rate; the discount is contingent on completing the full term.

    (b) Prepaid features and credits. If your plan includes prepaid features, unused credits, or bundled services, these expire at the end of the billing period in which cancellation takes effect and are not refundable or transferable, unless otherwise stated in the specific service plan documentation.

    (c) One-time services. One-time services such as Founder Spotlight and relaunch packages are non-refundable once the service has been initiated. A service is considered "initiated" when: (i) your launch date has been confirmed and is within 7 days, (ii) editorial or review work has begun on your submission, or (iii) the visibility or promotional period has started. If none of these conditions have been met, you may request a full refund within 14 days of purchase.

    (d) Founder delays, no-shows, and rejected materials. If a paid service cannot be delivered because you fail to provide required materials, miss a scheduled deadline, or submit materials that do not meet our content standards and cannot be reasonably revised, the service is still considered initiated. We will make reasonable efforts to accommodate rescheduling, but no refund is owed for delays caused by you.

    (e) Taxes and fees. Applicable taxes charged at the time of purchase are refundable only to the extent the underlying service is refundable. Transaction processing fees charged by third-party payment providers are non-refundable.

    (f) Ontario consumer rights. If you are a consumer located in Ontario, nothing in these Terms limits any rights you may have under the Consumer Protection Act, 2002 (Ontario) or its regulations, including any applicable cooling-off periods or disclosure requirements for internet agreements. Where these Terms conflict with mandatory consumer protection provisions, the consumer protection provisions prevail.

    (g) Recurring billing disclosure. By purchasing a subscription, you authorize SaaS Hive to charge your payment method on a recurring basis at the interval and price specified at checkout. You will receive a confirmation email at the time of each renewal. You may cancel at any time as described in Section 6.3(a).

    6.4. We reserve the right to change pricing for paid services. Price changes will not affect active subscription periods. We will notify you at least 30 days before any price increase takes effect on your next renewal.

    6.4A. Promotional and Introductory Pricing. SaaS Hive may offer promotional, introductory, or discounted pricing for paid services from time to time. Promotional pricing is valid for the period and under the conditions stated at the time of offer. After the promotional period ends, standard pricing applies unless you cancel before the promotional period expires. Promotional pricing may not be combined with other offers, credits, or discounts unless explicitly stated. The price you pay at the time of purchase governs your transaction; subsequent changes to promotional pricing do not retroactively affect your purchase.

    6.5. No paid ranking manipulation. Payment for any SaaS Hive service does not influence your product's position in category rankings. Premium listings may receive enhanced visual presentation (such as additional screenshots or highlighted features), but ranking position is determined solely by the signals described in Section 7.

    6.6. What Paid Services Include.

    (a) Growth Plan subscriptions provide enhanced distribution and control features beyond the Free plan, including: eligibility for curated roundups and "best tools for [use case]" editorial features, recurring newsletter digest inclusion, up to three (3) category placements, a monthly visibility boost in "Recently Updated," the ability to reply to reviews on your product page, the ability to post product updates, the ability to pin your best review, and the ability to post links in the community. Growth Plan subscriptions are available as monthly or annual billing. Growth Plan subscriptions do not alter your product's ranking position, review scores, editorial verdicts, or algorithmic treatment. The complete feature list is described in the service plan documentation and may be updated from time to time.

    (b) Founder Spotlight is a one-time editorial service available to founders on any plan. SaaS Hive publishes an editorial interview about your product and founder story as a permanent editorial page on saashive.com, features it in the next newsletter send, promotes it across SaaS Hive social media channels, and provides an additional do-follow backlink from the article. Founder Spotlight does not require a Growth Plan subscription.

    (c) Sponsored Placement is a monthly subscription available to founders on any plan. Sponsored Placement provides pinned positioning above organic listings in your selected category, homepage rotation visibility, and inclusion in category newsletter sends. Sponsored Placement is billed per category per month. All sponsored placements are clearly labeled as "Sponsored." Sponsored Placement does not affect your organic ranking, review scores, or Trending eligibility. Sponsored Placement does not require a Growth Plan subscription.

    (d) Analytics dashboards provide access to data about your product page performance, including views, saves, clicks, and review activity. The availability, scope, and granularity of analytics data may vary by plan tier and may change as the platform evolves.

    6.7. What Paid Services Do Not Promise.

    (a) No paid service on SaaS Hive guarantees any specific business outcome, including but not limited to: traffic volume, user sign-ups, revenue, review count, review sentiment, ranking position, or media coverage.

    (b) Paid visibility is exposure, not endorsement. A sponsored placement or premium listing does not imply that SaaS Hive recommends, endorses, or has independently verified the quality of your product beyond our standard listing review process described in Section 4.2.

    (c) Paid editorial features do not grant you control over editorial output. If you purchase a Founder Spotlight, our editorial team retains full discretion over tone, framing, and final content. You will have the opportunity to review factual accuracy before publication, but you do not have approval rights over editorial judgment.

    (d) Purchasing any paid service does not exempt your listing or account from moderation, review verification, fraud detection, or any other policy enforcement described in these Terms. Paid accounts are subject to the same rules as free accounts.

    6.8. Sponsored Content Labeling.

    (a) All paid placements, sponsored content, and premium visibility features are labeled clearly and consistently across the platform. Labels may include terms such as "Sponsored," "Featured Partner," "Promoted," or equivalent indicators.

    (b) The labeling system applies uniformly. There is no paid tier or service that allows a founder to receive promotional placement without a corresponding label visible to users.

    (c) Users can trust that any content without a sponsored label has not been paid for. If we ever fail to label paid content correctly, we will correct the error promptly and publicly.

    6.9. Service Plan Documentation. The specific features, deliverables, limits, and pricing for each paid tier and service, including the Growth Plan, the Free plan, the Sponsored Placement service, and the Founder Spotlight service, are described in our service plan documentation, available at saashive.com/pricing (or a successor URL). Service plan documentation is incorporated into these Terms by reference. In the event of a conflict between the service plan documentation and these Terms, these Terms prevail on legal matters (liability, refunds, cancellation, warranties) and the service plan documentation prevails on operational matters (feature scope, deliverables, pricing).

    6.10. Payment Processing and Failed Payments.

    (a) All payments are processed by our third-party payment processor. SaaS Hive does not store payment card details on its servers.

    (b) If a scheduled payment fails due to card expiration, insufficient funds, or authorization failure, we will attempt to notify you and may retry the charge. If payment remains unsuccessful after a reasonable number of attempts, we may suspend your access to paid features until the outstanding balance is resolved.

    (c) If you initiate a chargeback or payment dispute with your bank or payment provider for a charge that was validly authorized under these Terms, SaaS Hive reserves the right to: (i) suspend your account and paid features pending resolution, (ii) recover the disputed amount plus any associated fees or costs incurred by SaaS Hive as a result of the chargeback, and (iii) terminate your account if the chargeback is determined to be fraudulent or abusive.

    (d) You are responsible for ensuring your payment method on file is current and valid. SaaS Hive is not liable for service interruptions resulting from failed payments caused by your payment method.

    6A. Founding Member Program

    6A.1. Program Overview. SaaS Hive offers a limited Founding Member Program ("Program") to the first 50 founders who launch a product on SaaS Hive during the Program enrollment period. For the purposes of this Section, a 'launched product' means a product listing that meets the Founding Member Launch Requirements defined in Section 6A.3 and has been published on the platform. Founding Members receive access to the Growth Plan at no cost for a period of six (6) months following their product launch, subject to the terms in this Section. The Founding Member Program and the Growth Plan are separate from the Sponsored Placement and Founder Spotlight services described in Section 6.6. Founding Member status does not include Sponsored Placement or Founder Spotlight unless separately purchased.

    6A.2. Eligibility and Enrollment. The Program is limited to 50 spots. Spots are allocated on a first-come, first-served basis determined by the date and time a qualifying product listing is published on the platform. Creating a founder account does not reserve a Founding Member spot. Founding Member status is confirmed only when a product listing meeting the Founding Member Launch Requirements is published on SaaS Hive during the Program enrollment period. SaaS Hive reserves the right to close enrollment at any time once the 50-spot cap has been reached or at its sole discretion, with or without prior notice.

    6A.3. Launch Window and Founding Member Launch Requirements.

    (a) Once you create a founder account, you have a period of thirty (30) calendar days from the date of account creation to launch your product on SaaS Hive (the 'Launch Window'). If you do not launch your product within the Launch Window, you are no longer eligible for Founding Member status regardless of whether spots remain. SaaS Hive is under no obligation to extend, remind, or re-offer the Launch Window.

    (b) To qualify as a launched product for the purposes of the Founding Member Program, your product listing must meet all of the following requirements at the time of publication (the 'Founding Member Launch Requirements'):

    (i) Product name; (ii) One-line product description; (iii) Full product description of at least 150 characters; (iv) At least one product screenshot or image; (v) A working, publicly accessible product URL; (vi) At least one category selected; (vii) Pricing model indicated (including free, freemium, paid, or beta); and (viii) At least one named founder or team member displayed on the product page.

    (c) SaaS Hive may verify that the Founding Member Launch Requirements are met before confirming Founding Member status. Listings that are incomplete, misleading, or do not represent a genuine product may be rejected at SaaS Hive's sole discretion.

    (d) Founding Member status is not confirmed until SaaS Hive verifies the listing meets the requirements above and the spot has been allocated. SaaS Hive will notify you when your Founding Member status is confirmed.

    6A.4. Growth Plan Period. The six (6) month Growth Plan period (the "Founding Member Period") begins on the date your product listing is published on SaaS Hive, not the date of account creation. The Growth Plan includes the features described in Section 6A.5 as available at the time of your enrollment.

    6A.5. What the Growth Plan Includes.

    During the Founding Member Period, the Growth Plan includes everything in the Free plan, plus the following features, subject to availability and platform development status:

    Distribution:

    (a) Curated roundup inclusion. Eligibility for inclusion in curated roundups and "best tools for [use case]" editorial features. Inclusion is at the sole discretion of the SaaS Hive editorial team and is not guaranteed.

    (b) Newsletter digest inclusion. Your product may appear in recurring category activity roundups distributed via the SaaS Hive newsletter.

    (c) Up to three category placements. Your product may be listed in up to three (3) relevant categories, rather than being limited to one category as on the Free plan. Category selections must accurately reflect your product's functionality. SaaS Hive reserves the right to remove category placements that are irrelevant or misleading.

    (d) Monthly visibility boost. One visibility boost per month in the "Recently Updated" discovery surface. Visibility boosts are initiated by the founder through the Founder dashboard. Unused boosts do not carry over to subsequent months.

    Control:

    (e) Reply to reviews. Ability to respond publicly to reviews on your product page.

    (f) Product updates. Ability to post product updates to your profile.

    (g) Pin best review. Ability to pin one review to the top of your review section. Only one review may be pinned at a time. The pinned review must be a genuine review that complies with Section 7.2; pinning does not exempt a review from moderation or verification.

    (h) Community links. Ability to post links in the SaaS Hive community. Free plan users may participate in community discussions, upvote, and comment, but may not post self-promotional links. Link posting privileges are a Growth Plan feature.

    Additional Founding Member benefits:

    (i) Founding Member badge. A permanent badge displayed on your profile that identifies you as a Founding Member. This badge remains on your profile regardless of which plan you are on after the Founding Member Period.

    (j) Editorial consideration. Priority consideration for curated roundups, comparison pages, and "best for [use case]" features. Editorial consideration means your product will be reviewed for potential inclusion. It does not guarantee placement. All editorial decisions remain at the sole discretion of the SaaS Hive editorial team.

    (k) First access to new features. Early access to new platform features, including AI visibility analytics, as they become available. Early access features are provided under Section 5.5 (Beta, Pilot, and Early Access Features) and carry no warranty or guarantee of continued availability.

    6A.6. What the Growth Plan Does Not Include or Promise.

    (a) The Growth Plan does not guarantee any specific volume of traffic, page views, clicks, sign-ups, reviews, conversions, AI citations, or search engine rankings.

    (b) Inclusion in AI discovery surfaces (such as ChatGPT, Perplexity, Claude, Google AI Overviews, or any other third-party AI system) depends entirely on those systems' own indexing, ranking, and recommendation algorithms, which are outside SaaS Hive's control. SaaS Hive optimizes your product page with structured data to improve the likelihood of AI discoverability, but does not and cannot guarantee that any third-party AI system will index, cite, or recommend your product.

    (c) Community engagement (upvotes, reviews, feedback) depends on the organic activity of platform users. SaaS Hive does not guarantee any minimum level of community interaction with your listing.

    (d) The Growth Plan does not include Sponsored Placement. Sponsored Placement (pinned positioning above organic listings, homepage visibility, and related features) is a separate paid service. Founding Members may purchase Sponsored Placement separately at the applicable rate.

    (e) Priority editorial consideration does not entitle you to editorial placement. Editorial decisions are independent and final.

    6A.7. After the Founding Member Period.

    (a) At the end of the six-month Founding Member Period, your account will transition to the Free plan unless you choose to subscribe to a paid plan before the Founding Member Period expires.

    (b) We will notify you at least 14 days before your Founding Member Period ends. If you do not select a paid plan, features exclusive to the Growth Plan will become inactive, and your listing will continue under the Free plan terms.

    (c) No automatic billing will occur at the end of the Founding Member Period. You will only be charged if you affirmatively opt into a paid plan.

    (d) Your Founding Member badge is permanent and will remain on your profile regardless of which plan you are on after the Founding Member Period.

    (e) Your product listing, reviews, and accumulated engagement data remain intact after the transition to the Free plan. You do not lose your listing or review history.

    6A.8. Transferability and Restrictions.

    (a) Founding Member status is tied to your account and cannot be transferred, sold, or assigned to another person, entity, or product.

    (b) If your account is terminated for a violation of these Terms during the Founding Member Period, you forfeit the remaining Growth Plan benefits. No cash equivalent, credit, or extension will be provided.

    (c) The Founding Member Program is a one-time promotional offer. It cannot be combined with other promotional offers, credits, or discounts unless explicitly stated by SaaS Hive.

    (d) The Growth Plan benefits apply to all product listings submitted by a Founding Member during the Founding Member Period. There is no limit on the number of products a Founding Member may list under the Growth Plan, provided each listing meets the requirements of Section 4.

    6A.9. Program Modifications. SaaS Hive reserves the right to modify the terms of the Founding Member Program for future enrollees at any time. Changes to the Program will not retroactively reduce the benefits of founders who have already launched a qualifying product and been confirmed as Founding Members, except as permitted in Section 6A.6 regarding feature availability and platform development.


    7. Rankings, Reviews, and Editorial Content

    7.1. Rankings.

    Product rankings within categories are determined algorithmically based on a combination of review scores, review volume, recency, and user engagement signals (such as saves and clicks). No founder can pay for a higher ranking position. We may adjust the ranking algorithm from time to time to improve fairness and quality.

    7.2. Reviews.

    (a) Reviews must reflect the reviewer's genuine experience with the product. Reviews that are fabricated, incentivized, coerced, traded, or otherwise inauthentic violate these Terms.

    (b) We use both automated systems and manual processes to detect and address fraudulent or manipulative reviews. This may include identity verification, device fingerprinting, and behavioral analysis. Details about our fraud detection practices are provided in our Privacy Policy.

    (c) Reviews are weighted using a trust-based scoring system. Factors that influence a review's weight include, but are not limited to: the strength of the reviewer's identity verification, account maturity, review quality, community helpfulness votes, and the reviewer's track record on the platform. The specific formula is proprietary.

    (d) Reviews are labeled with transparent context indicators, such as "verified user," "promotional," or "organic." These labels indicate the context of the review, not the identity of the reviewer.

    (e) We do not remove negative reviews because a founder disagrees with them. We do remove reviews that violate these Terms, including reviews that are fraudulent, abusive, contain hate speech, or are clearly unrelated to the product.

    (f) Founders on the Growth Plan may respond publicly to reviews through their Founder dashboard. The ability to reply to reviews is a Growth Plan feature and is not available on the Free plan unless otherwise specified in the service plan documentation.

    (g) A product's public rating score will not be displayed until a minimum number of reviews has been received. This threshold is set by us and may change.

    (h) Proof of use. We reserve the right to request evidence that a reviewer has used the product being reviewed. This may include, but is not limited to: account confirmation, usage screenshots, purchase receipts, or other reasonable documentation. Reviews submitted without proof of use when requested may be withheld, deprioritized, or removed.

    (i) Withholding pending verification. We may withhold publication of any review pending verification of authenticity, including during periods of unusual review activity on a product page. Withholding a review is not a determination that it is fraudulent. It is a precautionary measure.

    (j) Duplicate and controlled reviews. We reserve the right to collapse, merge, or remove reviews that we reasonably determine originate from the same individual, household, organization, or entity, including reviews submitted by a founder's employees, contractors, investors, or close associates about their own product. This includes reviews submitted from multiple accounts or devices.

    (k) Conflict-of-interest disclosure. If you have a financial, employment, contractual, or personal relationship with the product or its founders, you must disclose this in your review. Undisclosed conflicts of interest are a violation of these Terms. We may add a conflict-of-interest label to any review where such a relationship is identified, regardless of whether the reviewer disclosed it voluntarily.

    (l) Appeals. If your review is removed, withheld, or relabeled, you may submit an appeal via our contact page within 30 days. Appeals will be reviewed by a member of our team who was not involved in the original decision. We will respond to appeals within 14 business days. Our decision on appeal is final.

    (m) Founder review disputes. If a founder believes a review is fraudulent or violates these Terms, they may report it through their Founder dashboard. Reporting a review does not guarantee its removal. We investigate all reports and make decisions based on our policies, not on founder preference.

    7.3. Community Helpfulness Voting. Users may vote on whether a review was helpful. These votes contribute to review visibility and trust scoring. Coordinated voting manipulation is prohibited and subject to account enforcement.

    7.4. Editorial Content. "Our Verdict" sections and editorial roundups are created using AI-assisted analysis of the product, its reviews, and its category positioning. This content is reviewed and may be edited by our editorial team. Editorial content is updated periodically. Verdicts are not endorsements or guarantees.

    7.5. Sponsored and Paid Content. Any content that is paid for, including sponsored placements, featured spots in newsletters, or promotional positions, is clearly labeled as such. We will never present paid content as organic editorial.

    8. Intellectual Property

    8.1. Platform ownership. SaaS Hive, including its design, features, algorithms, editorial content, branding, and the "SaaS Hive" name and marks, is owned by 1048035 B.C. LTD. You may not copy, modify, distribute, or create derivative works from any part of the platform without our written permission.

    8.2. Founder content. Founders retain ownership of the content they submit (logos, screenshots, descriptions, videos, and other materials). By submitting content to SaaS Hive, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and promote that content on the platform, in our newsletters, on social media, and in marketing materials related to SaaS Hive. This license continues for as long as your listing is active on the platform and for a reasonable period after removal to allow for archival and cached content.

    8.3. Review content. By posting a review, you grant SaaS Hive a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, and distribute that review on the platform, in our newsletters, and in marketing and editorial materials. Reviews may be retained in anonymized form even after account deletion for the purpose of maintaining platform integrity and aggregate rating accuracy.

    8.4. Intellectual Property Complaints and Takedown Procedures.

    (a) Filing a complaint. If you believe content on SaaS Hive infringes your intellectual property rights, submit a written notice via our contact page that includes: (i) identification of the copyrighted work or other intellectual property you claim has been infringed; (ii) identification of the allegedly infringing content on SaaS Hive, including the URL or specific location; (iii) your full name, mailing address, telephone number, and email address; (iv) a statement that you have a good-faith belief that the use of the content is not authorized by the rights owner, its agent, or the law; (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or authorized to act on their behalf; and (vi) your physical or electronic signature.

    (b) Response and interim measures. Upon receipt of a valid complaint, we may, at our discretion: disable access to the allegedly infringing content while we investigate, notify the account holder who posted the content, and provide the account holder an opportunity to submit a counter-notice. We aim to acknowledge complaints within 5 business days and resolve them within 15 business days, though complex cases may take longer.

    (c) Counter-notice. If your content is removed or disabled based on an IP complaint and you believe the removal was in error, you may submit a counter-notice via our contact page including: your identification and contact information, identification of the removed content and its former location, a statement under penalty of perjury that you believe the content was removed in error, and your consent to the jurisdiction of the courts in Ontario, Canada.

    (d) Repeat infringers. We will terminate the accounts of users who are determined to be repeat infringers. For the purposes of this section, a "repeat infringer" is an account holder against whom we have received two or more valid, upheld IP complaints within any 12-month period.

    (e) Content posted during investigation. While an IP complaint is under investigation, the disputed content may be disabled, labeled as "under review," or otherwise restricted. This is a precautionary measure and does not constitute a determination of infringement.

    (f) Good-faith reporting. Submitting a knowingly false or misleading IP complaint is a violation of these Terms and may result in account suspension or termination.

    8.5. Reservation of Rights. All rights not expressly granted to you under these Terms are reserved by SaaS Hive. Nothing in these Terms grants you any right, title, or interest in the platform, its technology, algorithms, data, editorial content, or branding except for the limited rights expressly described herein.

    9. Newsletters and Communications

    9.1. SaaS Hive operates email newsletters, including the SaaS Hive platform newsletter and the Launch and Tell newsletter. By subscribing, you consent to receive the specific newsletter(s) you signed up for.

    9.2. You may unsubscribe from any newsletter at any time using the unsubscribe link in each email. Unsubscribing from marketing newsletters does not affect transactional communications related to your account (such as security alerts, billing confirmations, or policy updates).

    9.3. We comply with Canada's Anti-Spam Legislation (CASL) and applicable anti-spam laws in all jurisdictions where we operate. We will not send you commercial emails without your express or implied consent as defined by applicable law.

    9.4. Consent records. We maintain records of your consent to receive commercial electronic messages, including the date, time, and method of consent, the purpose for which consent was given, and the specific communications you subscribed to. These records are retained for the duration of your subscription and for a minimum of 36 months after your last interaction with our emails, or as otherwise required by law.

    9.5. Sender identification. All commercial electronic messages sent by SaaS Hive will identify the sender (SaaS Hive or Launch and Tell, as applicable), include our contact information including a physical mailing address, and provide a functioning unsubscribe mechanism that will be honored within 10 business days of receipt.

    9.6. Implied consent. In certain circumstances, we may send you commercial electronic messages based on implied consent as permitted under CASL, such as when you have an existing business relationship with SaaS Hive (for example, through an active paid service). We will clearly identify such messages and provide an unsubscribe option.

    10. Disclaimer of Warranties

    10.1. SaaS Hive is a discovery and comparison platform. We are not a party to any transaction between a user and a product listed on our platform. We do not endorse, guarantee, or warrant the quality, safety, reliability, or legality of any listed product.

    10.2. Reviews represent the opinions of individual users. Rankings are generated algorithmically. Editorial verdicts are informational. None of these constitute professional advice, endorsements, or guarantees.

    10.3. The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    10.4. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

    10.5. No Professional Advice. Nothing on SaaS Hive, including product comparisons, category rankings, editorial verdicts, "best for" and "not for" recommendations, roundups, or any other content, constitutes professional, legal, financial, or technical advice. Our editorial and algorithmic content is informational only and is not a substitute for your own independent evaluation or professional consultation. You are solely responsible for your decision to use, purchase, or rely on any product listed on the platform.

    10.6. Analytics and Data Accuracy. Analytics data provided through the platform, including views, clicks, saves, review activity, and any other performance metrics, is provided for informational purposes only. Analytics data may be delayed, estimated, sampled, retroactively corrected, or affected by factors outside our control, including but not limited to ad blockers, bot traffic, third-party browser restrictions, caching, and technical errors. You should not rely on SaaS Hive analytics as exact accounting, financial reporting, or a basis for legal or contractual obligations. We do not warrant the accuracy, completeness, or timeliness of analytics data.

    10.7. No Service Level Guarantees. Unless expressly stated in a separate written service level agreement (SLA) signed by SaaS Hive, no paid plan or service includes any guaranteed uptime percentage, response time, support availability, or service level commitment. We aim to keep the platform available and responsive, but periods of downtime, maintenance, degraded performance, or limited support capacity may occur without liability to you.

    10.8. User-Generated Content. Founders, reviewers, and users are solely responsible for the content they submit, including all claims, statements, representations, opinions, and allegations contained in product listings, reviews, review responses, and other user-generated content. SaaS Hive does not endorse, verify, or adopt user-generated content as its own. We are not responsible for any inaccurate, misleading, defamatory, or otherwise objectionable content posted by users. Our moderation efforts, including review verification and content labeling, are undertaken in good faith but do not make us the author, publisher, or guarantor of user-generated content.

    11. Limitation of Liability

    11.1. To the fullest extent permitted by applicable law, SaaS Hive and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.

    11.2. Our total aggregate liability to you for any claims arising from or related to these Terms or your use of the platform shall not exceed the greater of (a) the amounts you paid to SaaS Hive in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

    11.3. These limitations apply regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or any other basis.

    12. Indemnification

    12.1. You agree to indemnify, defend, and hold harmless SaaS Hive and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the platform, (b) your violation of these Terms, (c) your violation of any third-party rights, including intellectual property rights, or (d) any content you submit to the platform.

    12.2. Additional Founder Indemnity. If you are using SaaS Hive in a founder capacity, you additionally agree to indemnify, defend, and hold harmless SaaS Hive and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) any claims by your end users, customers, or any third party regarding the quality, performance, availability, security, or legality of your product; (b) any failure by you to comply with applicable laws, regulations, or licensing requirements in the jurisdictions where you offer your product, including but not limited to consumer protection, data privacy, accessibility, and advertising standards laws; (c) any regulatory investigation, enforcement action, or government inquiry directed at your product or business practices that involves or implicates SaaS Hive; (d) any dispute between you and your end users, customers, partners, or contractors that results in a claim against SaaS Hive; (e) any misrepresentation in your product listing, including inaccurate pricing, feature claims, AI capability claims, or target audience descriptions; and (f) any undisclosed affiliate relationship, conflict of interest, or commercial arrangement that violates Section 4.10 of these Terms.

    13. Account Suspension and Termination

    13.1. We may suspend or terminate your account, remove your content, or restrict your access to the platform at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the platform or its users.

    13.2. Upon termination: (a) your right to access the platform ceases immediately, (b) any active paid services are cancelled (refund eligibility is determined under Section 6.3), (c) your product listings will be removed from public discovery, and (d) review content you posted may be retained in anonymized form.

    13.3. You may delete your account at any time through your account settings or by contacting us via our contact page. Account deletion will be processed within 30 days. Certain data may be retained as described in our Privacy Policy.

    14. Dispute Resolution

    14.1. These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

    14.2. Arbitration. Subject to Section 14.4, any dispute arising from or relating to these Terms or your use of the platform that is not resolved through good-faith negotiation within 30 days may be submitted to binding arbitration administered in Ottawa, Ontario, Canada, in accordance with the rules of the ADR Institute of Canada / applicable arbitration body. The arbitration shall be conducted by a single arbitrator. The language of arbitration shall be English. The arbitrator's decision shall be final and binding.

    14.3. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

    14.4. Consumer protection carveout. If you are using SaaS Hive as a consumer (as defined by applicable provincial or federal consumer protection legislation), nothing in this section limits your right to bring a claim in any forum that cannot be waived under applicable consumer protection law. If any part of this arbitration clause is found unenforceable as applied to a consumer claim, that part shall be severed and the remainder of this section shall continue to apply to the extent permitted by law.

    14.5. Small claims. Either party may bring a claim in the small claims court of competent jurisdiction as an alternative to arbitration, provided the claim falls within the court's jurisdictional limits.

    14.6. Class Action Waiver (Business Users Only). If you are using SaaS Hive in a business, commercial, or founder capacity, you agree that any claim, dispute, or proceeding arising out of or relating to these Terms or your use of the platform will be brought only on an individual basis and not as a plaintiff, class member, or representative in any purported class, collective, consolidated, or representative proceeding. The arbitrator or court may not consolidate the claims of multiple parties or otherwise preside over any form of representative or class proceeding, except to the extent such restriction is prohibited by applicable law. For greater certainty, this Section does not apply to users acting as consumers where a class action waiver is prohibited or limited by applicable law.

    14.7. Release of Claims Between Users and Founders. To the fullest extent permitted by applicable law, you release SaaS Hive, its officers, directors, employees, and agents from any and all claims, demands, damages, losses, costs, and expenses of any kind arising out of or in any way connected with disputes between users and founders, between reviewers and founders, or between any platform users. This includes, but is not limited to, disputes arising from: (a) the accuracy, quality, or performance of a listed product; (b) the content, tone, or fairness of a review; (c) a founder's customer support, refund, or service obligations toward their end users; and (d) any transaction, communication, or relationship between users and founders that originated through or was facilitated by the platform. You acknowledge that SaaS Hive is a neutral platform and is not a party to any such dispute.

    15. General Provisions

    15.1. Entire Agreement. These Terms, together with our Privacy Policy and any applicable Acceptable Use Policy, constitute the entire agreement between you and SaaS Hive regarding your use of the platform.

    15.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

    15.3. Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

    15.4. Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

    15.5. Force Majeure. We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.

    15.6. Referenced policies. These Terms reference our Privacy Policy, Acceptable Use Policy, and service plan documentation. Where a referenced policy is not yet published, the relevant obligations described in these Terms apply directly. In the event of a conflict between these Terms and a referenced policy, these Terms shall prevail unless the referenced policy explicitly states otherwise.

    15.7. Policy availability. All referenced policies will be made available at saashive.com/legal (or a successor URL). We will notify account holders when a new referenced policy is published.

    15.8. Survival. The following Sections survive termination or expiration of these Terms or your account for any reason: Section 3 (User Conduct, to the extent of ongoing obligations), Section 4.7 (Founder Legal Compliance), Section 4.12 (Founder Responsibility for End Users), Section 6.3 (Cancellation and Refunds, with respect to accrued obligations), Section 6.10 (Payment Processing and Failed Payments, with respect to outstanding balances), Section 7.2 (Reviews, with respect to content licenses and retained anonymized reviews), Section 8 (Intellectual Property, including all content licenses granted and the Reservation of Rights), Section 10 (Disclaimer of Warranties), Section 11 (Limitation of Liability), Section 12 (Indemnification), Section 14 (Dispute Resolution, including the Class Action Waiver and Release of Claims), Section 15 (General Provisions), and Section 16 (Contact). Any other provisions that by their nature should survive will also survive termination.

    15.9. Modifications to the Platform. SaaS Hive reserves the right to modify, update, suspend, or discontinue any part of the platform, including features, plans, pricing tiers, categories, ranking algorithms, discovery surfaces, editorial formats, and any other aspect of the service, at any time and with or without notice, to the extent permitted by applicable law. We will make reasonable efforts to provide advance notice of material changes that affect paid services. Continued use of the platform after changes are implemented constitutes acceptance of those changes. If you do not agree with a material change, your remedy is to discontinue use of the platform and, if applicable, cancel your paid services in accordance with Section 6.3.

    15.10. Third-Party Services. The SaaS Hive platform relies on third-party services for hosting, payment processing, email delivery, analytics, identity verification, fraud detection, authentication, and other functions. These third-party services may experience outages, disruptions, changes, or discontinuation outside our control. SaaS Hive is not liable for any failure, delay, interruption, or degradation of the platform caused by third-party service providers. We will make reasonable efforts to mitigate the impact of third-party disruptions, but we do not guarantee uninterrupted service.

    15.11. No Partnership, Agency, or Employment. Nothing in these Terms, and no use of the SaaS Hive platform, creates a partnership, joint venture, agency, fiduciary, employment, or franchise relationship between SaaS Hive and any user, founder, or other party. No user or founder has the authority to bind SaaS Hive, make representations on its behalf, or incur obligations in its name.
